1. What Veela is

Veela is an AI-native company secretarial platform for Australian proprietary companies. Veela provides company secretarial services, document preparation and regulatory information. Veela does not provide legal advice, tax advice or financial product advice, and nothing on the platform should be relied on as such — matters outside this scope are referred to partner firms with your consent.

2. Service description by tier

The scope of what Veela does — and who is responsible for reviewing it — changes by tier:

  • Solo. Software-only, unreviewed AI drafting output with pay-per-use human help. Drafts, resolutions and register entries produced on Solo are AI-generated and unreviewed by a humanunless and until you engage a human reviewer (including through a paid 'ask a human' request). You are responsible for reviewing Solo-plan output before relying on it, filing it or acting on it. ASIC lodgement preparation and self-filing tools are included, but Veela is not appointed as your registered agent on this tier — you lodge yourself, or through your own registered agent.
  • Team. Software and AI preparation, with professional responsibility resting with your own company secretary, who approves consequential actions through the Review Console before they take effect. ASIC filings are routed to your existing registered agent.
  • Managed. A named Veela principal is appointed as your company secretary within the scope defined in your engagement letter, and Veela acts as your registered agent for ASIC lodgement. Matters outside that defined scope are excluded and identified as such in your engagement documentation.

3. Acceptable use

You agree not to:

  • Use Veela to prepare documents for a purpose you know to be unlawful or fraudulent;
  • Attempt to circumvent the approval gates that sit between an AI-drafted output and any consequential action (circulation, register write, signature or lodgement);
  • Share your account credentials, or misrepresent your authority to act for the company you register; or
  • Interfere with, reverse engineer, or attempt to extract the underlying models or systems behind Veela.

4. Your responsibilities

You are responsible for the accuracy of the information you provide to Veela (officer, member and register details, constitutional documents and instructions), for reviewing AI-drafted output appropriate to your tier before it is relied on, and for engaging appropriately qualified advice for legal, tax or financial product questions outside Veela's scope.

5. Data handling and residency

Register-derived and officer/member personal information is handled in accordance with the Australian Privacy Principles and is hosted with Australian data residency. See our privacy policy for full detail on what we collect, how it is used, and how AI providers are configured (including zero data retention on model calls and no use of client data for model training).

6. Liability

To the maximum extent permitted by law, Veela's liability for any claim arising from your use of the platform is limited to the fees you paid for the relevant service in the 12 months before the claim arose. Nothing in these terms excludes liability that cannot be excluded under the Australian Consumer Law. Veela is not liable for losses arising from reliance on unreviewed Solo-plan output, or from information you provided that was inaccurate or incomplete.

7. Changes to these terms

We may update these terms from time to time. Material changes will be notified in-product before they take effect.
