Due diligence, an auditor, an incoming director — sooner or later somebody opens the minute book and reads back what you decided. Here the resolution passes and the register moves together, so your cap table and your minute book can't disagree.

It decides what Veela sets up for you, and what you pay.
It invoices customers, employs people, holds contracts. It has shareholders, and one day it might issue shares or options, pay a dividend or raise money. That is the rest of this page, from $10/month.
It's the trustee of a family trust or an SMSF, a holding company, or dormant with the name kept. No customers, no staff, no new shares. It has its own plan at $50/year, and its own page.
Both keep the ASIC annual review on track, the s347A solvency resolution drafted, and the registers and minute book current. You can switch any time from Billing.
Three steps, one approval spine — and the reason the register can't drift from the minute book.
Answer plain-language prompts. The agents draft from Australian templates, your constitution and your live register, then an independent checker validates it.
A named company secretary — yours, or ours — reviews the draft, the checker report and the register diff, and approves or bounces it. Every approval is on the record.
Signatures are collected, the resolution passes, and the register movement commits with it. Your register, minute book and ASIC position stay consistent with what was decided.
Everything below is enforced in the workflow engine, not asked for in a prompt.
A human click does each of those, every time. The agents draft and explain; they never commit.
Signatories, thresholds, whether there are enough unissued shares — the same checks on every draft, before a person sees it. Not a spot-check on request.
Ask Veela answers from your constitution, plan rules, registers and the Corporations Act, and shows which clause it read. You can check the working.
Ask Veela reads the library through the permissions of the person asking. A document marked admin-only never reaches the model for anyone who isn't allowed to open it.
Veela provides company secretarial services, document preparation and regulatory information — not legal, tax or financial advice. How the controls are built →
17 templates — officer changes, ESOP grants, class-rights variations — drafted from plain-language prompts, circulated for e-signature, filed to an immutable minute book. When nothing fits, a general resolution from your own words.
A dock that knows the page you're on, answering from your own document library with citations to the exact clause. Never open-web guesswork.
Cap table time travel to any as-at date, an exit waterfall citing the clause behind every number, raise modelling for SAFEs and notes, plus ESOP grants and vesting. Modelling never touches the register until a resolution passes.
ASIC annual reviews, ESS reporting windows and option expiries watched continuously — tasks opened with lead time, drafts prepared in advance. It also opens one against any director without a verified director ID, so it surfaces when they join rather than when someone asks.
Once a draft clears the Checker — signatories, thresholds, enough unissued shares, checks that can't be skipped — it's ready to circulate.
By email — no account, no seat, no provider. Just a link to the exact document, addressed to them.
Every signature lands as evidence on an immutable minute book entry, the moment the last signatory signs.

Veela is the governance layer: the resolution, the check, the approval, the signatures. Where the resulting register lives is a separate question, with three answers.
Most Pty Ltd companies never outgrow this. The Veela-kept register carries up to 25 members with nothing to integrate, and every movement in it was written by a resolution that passed.
Included on every business plan
Already on Cake, Carta or a spreadsheet your lawyer maintains? Veela governs the decision and hands you the movement and the signed resolution behind it. Your registry stays the source of truth.
No migration required
At scale the register of record moves to Tokeniser — DD-grade history, drift detection and an investor portal — and Veela writes through to it. Only where the answer is stored changes. Lifts the cap to 50 members, the s113 threshold.
The built-in register is capped on purpose: a registry of record at scale is a different product with different obligations, and pretending a lightweight one scales forever is how registers quietly go wrong. Past 50 shareholders, pricing is on request. Talk to us, or see the integrations.
Past 25members a cap table stops being a side-table: investors expect a registry of record with full history behind every holding, not a working copy that's merely up to date.
So Veela hands that to Tokeniser — the registry-of-record platform behind our own cap table infrastructure. Veela governs the decisions; Tokeniser keeps the DD-grade record they produce.
The connection is in final testing — express interest and we'll switch you on first when it opens.
Per company, per month, ex GST. The full ASIC toolkit is on every plan. What changes as you move up is who operates the account, and who checks the work before it goes out.

It replaces the part of their job that's assembly.
They already handle the annual review. Give them one of the 5 free view only seats and they read the live register instead of rebuilding it each year — download what they need, change nothing.
They wrote the constitution and the shareholders' agreement. Ask what your drag-along clause says and the answer arrives with the clause attached, not a summary of it.
Ask-a-human puts a scoped request in front of the Veela desk for $50 ex GST, no subscription. Or on Team, your own company secretary approves inside the product, with every approval on the record.

A minute book nobody can trace back is a folder of documents. These are the controls that make yours evidence.
Every agent run logs its sources, model version, output and approval chain. Register edits carry a field-level audit trail, and the minute book is append-only — records are added, never silently rewritten, and each one says what was AI-prepared and who approved it.
Veela's primary database runs in Sydney. Australian data residency for register-derived data, zero AI-training retention, and encryption at rest and in transit.
Your ASIC corporate key and e-signature API key are envelope-encrypted at rest, decrypted only at the moment of use, never shown back in full and never logged.
No. Veela provides company secretarial services, document preparation and regulatory information. Contentious or advisory matters — tax, disputes, capital raising — are referred to partner firms with your consent.
Roughly 90 questions or about two dozen drafted resolutions each month. Heavy use is metered beyond that, with a live usage view and hard caps you control. Unused balance doesn't roll over.
No — Veela keeps its own share and ESOP register up to 25 members with nothing to integrate, and the Tokeniser connection (coming soon) lifts that to 50. Member pricing is the same on every plan: 10 included, then +$1/month per member.
1 GB is included on every plan, then +$10/month per additional GB. Uploads are never blocked by storage — overage shows as a pending charge until Stripe billing goes live.
Every document you mark as context — summarised into its working context in the background so answers stay grounded across your whole library. Name one in a question and Veela pulls its full text.
No — each signatory gets a personal signing link by email and signs on any device, no account or seat required. Owners can resend a link at any time, or record a wet-ink signature if that's how it was actually signed.
No — Form 484 prep packs, email-to-agent routing and self-filing are included on every plan, Solo included. Plans differ on who's operating the account, not on ASIC access.
Paid seats are for the people who run the account. Solo and Trustee include one — you. Team includes 2 additional paid seats beyond the owner, for teammates or your reviewing company secretary, with more at $20/seat/month. On top of those, every plan gives you 5 free view only seats to hand out.
Look, and take a copy. They can read the registers, the ASIC position and the minute book, and download the documents they're allowed to see. They can't change anything, can't upload anything, can't use Ask Veela, and don't see documents the company has marked restricted to admins. Downloads are recorded against their name, and the record is kept for 12 months.
Yes — Solo and Team are fully self-serve in both directions from Billing, any time. Upgrading during your 7-day trial ends the trial and starts your Team subscription immediately.
Every draft passes an independent checker, and nothing circulates, writes to a register or lodges without a named human's approval. On Solo, drafts are framed as unreviewed until a human is engaged — self-certify as a director, use Ask-a-human, or move to Team for a dedicated reviewer.
A named Veela principal, formally appointed under s204A — real officer duties, professional indemnity insurance, lodging directly with ASIC as registered agent. It's a staffed engagement, so it's arranged by talking to us rather than a self-serve signup.
